Job Overview:
A leading law firm is seeking a Capital Markets Associate Attorney with 2 to 3 years of experience to join its growing Capital Markets practice. This position offers the opportunity to work with high-growth technology and life sciences companies, guiding them through equity and debt offerings, public company readiness, and post-IPO matters. The role also involves representing top investment banks, venture capital funds, and institutional investors in complex public markets transactions. Location:

• New York, NY

Duties:

• Advise technology and life sciences companies on capital markets transactions, including IPOs and follow-on offerings

• Represent underwriters and placement agents in public equity and debt offerings

• Draft and review SEC filings, registration statements, offering memoranda, and disclosure documents

• Support public company clients with compliance, governance, and reporting obligations

• Collaborate with cross-office teams on deal strategy and execution

• Maintain strong, service-oriented relationships with clients and investment community participants

Requirements:

• 2 to 3 years of capital markets experience at a major law firm

• Demonstrated experience in public securities transactions, including equity and/or debt offerings

• Proven ability to manage transactions from inception to completion

• Strong interest in advising technology-driven companies and investors

Education:

• Juris Doctor (JD) from an accredited U.S. law school

Certifications:

• Active bar membership in New York, depending on office location

Skills:

• Excellent drafting, negotiation, and organizational abilities

• Familiarity with securities laws and SEC compliance

• Strong interpersonal and communication skills

• Entrepreneurial mindset with a client-service focus

• Team-oriented with the ability to lead or support transactions as needed
