Profile
A law firm seeks a resourceful mid-level Associate to join its Washington, D.C. office, focusing on complex corporate, private equity, capital markets, and finance transactions. This position, filled through our recruiting services, will involve collaborating with cross-disciplinary teams on domestic and international deals, helping clients navigate evolving regulatory and business landscapes.
Duties
Lead key aspects of structuring and documenting public and private financing transactions, including equity and debt offerings, joint ventures, and fund formations
Coordinate cross-border elements of mergers, acquisitions, and secondary offerings, working alongside internal specialists and external counsel
Draft and negotiate registration statements, offering memoranda, underwriting agreements, and ancillary securities documents
Oversee due diligence processes, managing document preparation and organization for client and regulatory review
Advise clients on securities regulations and compliance obligations, including SEC reporting and disclosure requirements
Collaborate with sector groups (e.g., technology, healthcare, financial services) to develop industry-specific deal solutions
Mentor and supervise junior associates during deal execution, providing guidance on drafting, negotiation tactics, and closing checklists
Participate in client meetings and calls to present deal strategies, address questions, and ensure seamless transaction progress
Requirements
One to two years of practical experience handling capital markets, corporate, or finance transactions at a reputable law firm or professional services organization
Demonstrated ability to lead portions of deal workflows independently, including drafting key transaction documents and coordinating due diligence
Strong interpersonal skills, with confidence engaging external underwriters, in-house legal teams, and regulatory stakeholders
Proven analytical aptitude to interpret complex financial structures and regulatory frameworks
Ability to thrive in a fast-paced environment, juggling multiple matters and shifting priorities with poise
Proactive mindset, capable of identifying potential deal pitfalls and proposing creative, pragmatic solutions
Education
Juris Doctor (J.D.) from an ABA-accredited law school with evidence of solid academic performance (e.g., law review, moot court, honors programs)
Certifications
Admission in good standing to the District of Columbia Bar (required)
Membership or eligibility in other jurisdictions (e.g., New York, California) viewed favorably but not mandatory
Skills
Exceptional legal drafting and proofreading abilities, with attention to nuanced securities and corporate provisions
Excellent verbal communication, including experience presenting transaction updates to internal teams and clients
Strong research and problem-solving skills, able to analyze industry trends and regulatory developments
