Job Title: Corporate Attorney

Job Overview:
A law firm based in Denver, CO, is actively seeking a Corporate Finance Associate to join its transactional team, with a focus on tax credit financing and structured finance transactions. The role offers an opportunity to work on a wide range of complex corporate matters, including debt and equity structures, tax credit investments (e.g., solar, new markets), and other financial arrangements. Ideal for candidates looking to enhance their legal drafting, negotiation, and due diligence skills within a collaborative, fast-paced environment.

Duties:

• Support complex financing transactions involving tax credits (e.g., solar, new markets) and structured finance

• Draft and negotiate a range of transactional documents, including:

  • Loan agreements and related security documents

  • Operating agreements

  • Tax credit transfer and equity financing agreements

  • Guarantees, leases, consents, and corporate resolutions

• Perform due diligence reviews, including analysis of:

  • Organizational documents

  • Grant agreements

  • Transactional risk assessments

• Coordinate with clients and internal legal teams throughout the deal lifecycle

• Contribute to the management and organization of transactional matters

• Collaborate with large transaction teams across multiple practice areas

Requirements:

• Minimum of 2 years of legal experience in corporate finance or structured transactions (law firm experience preferred)

• Interest in or exposure to tax credit financing (solar, new markets, or similar structures)

• Strong drafting and negotiation skills with a focus on transactional documentation

• Familiarity with due diligence processes for financing transactions

• Demonstrated ability to manage multiple priorities and deadlines in a team setting

• Excellent verbal and written communication skills

• The capacity to learn new legal and technical subject matter quickly

Education:

• Juris Doctor (J.D.) from an ABA-accredited law school

Certifications:

• Admission to the Colorado State Bar (or pending admission)

• Bar membership must be active and in good standing

• LL.M. in Taxation is a plus

Skills:

• Proficiency in transactional document drafting

• Strong analytical and organizational skills

• Team-oriented mindset with the ability to work independently when needed

• Sound legal judgment and attention to detail

• Comfortable working under time-sensitive conditions

• Familiarity with tax credit markets and financial structuring is preferred
