Duties:

• Advise clients on corporate mergers, acquisitions, and private equity transactions
• Draft, review, and negotiate transaction documents and agreements
• Perform due diligence for transactions, ensuring compliance with legal requirements
• Provide strategic advice on corporate governance and restructuring
• Collaborate with senior attorneys and partners on complex legal matters
• Represent clients in negotiations, ensuring their best interests are protected
• Conduct legal research and analysis to support transaction-related decisions

Requirements:

• 3-5 years of experience in corporate transactional law, with a focus on mergers & acquisitions and private equity
• Admitted to the California Bar
• Strong analytical and drafting skills
• Ability to handle complex legal issues with minimal supervision
• Excellent communication and client management skills

Education:

• Juris Doctor (JD) from an accredited law school

Certifications:

• Active membership in the California State Bar
