Job Overview:
A prominent law firm in New York is seeking a highly motivated and skilled Corporate Associate Attorney for their Corporate Group. The ideal candidate will have a background in general corporate law, including experience in mergers and acquisitions (M&A), private equity, public and private offerings, and/or SEC reporting. This role offers the opportunity to work closely with partners, counsel, and senior associates on a wide range of corporate matters, both domestic and international. The firm is looking for candidates who have graduated law school in 2020-2022, with relevant experience at a top law firm.

Location:

• New York, NY

Duties:

• Assist with a variety of corporate transactions, including mergers and acquisitions, private equity deals, public and private offerings, and SEC reporting.
• Provide legal support and research on corporate governance matters, compliance issues, and regulatory matters.
• Draft and review corporate documents, including contracts, agreements, and SEC filings.
• Collaborate with senior attorneys and clients on deal structure and strategy.
• Participate in client meetings and offer insights on corporate matters.
• Stay updated on changes in corporate law, including SEC regulations and industry standards.
• Assist with cross-border transactions and joint ventures across multiple industries, including technology, media, financial services, and pharmaceuticals.

Requirements:

• J.D. degree from an accredited law school (2020-2022 law school graduates).
• Admission to the New York State Bar is required.
• Experience in general corporate work, including M&A, private equity, public & private offerings, and/or SEC reporting is preferred.
• Strong academic record, with preference for candidates from top law schools.
• Previous experience at an AmLaw 200 law firm is highly desirable.
• Excellent written and verbal communication skills.
• Strong attention to detail and organizational skills.
• Ability to work independently and collaborate effectively with a team.
• Exceptional work ethic, with the ability to handle multiple tasks in a fast-paced environment.

Education & Certifications:

• Juris Doctor (J.D.) from an accredited law school.
• Admission to the New York State Bar.

Skills:

• Knowledge of corporate law and related areas, including M&A, private equity, and SEC filings.
• Strong legal writing and drafting skills.
• Experience with transactional matters, including document review and legal research.
• Ability to analyze and structure complex corporate deals.
• Proficiency in Microsoft Office Suite, legal research tools, and document management systems.
• Excellent communication skills, both written and verbal.
• Ability to manage multiple priorities and work under tight deadlines.
