Duties:

• Manage and execute sophisticated corporate transactions including mergers, acquisitions, divestitures, and restructurings

• Advise clients on a range of business matters from structuring deals to negotiating transaction documents

• Draft and review corporate agreements, governance documents, and other legal instruments

• Collaborate with colleagues across practice groups to provide comprehensive client solutions

• Serve as a point of contact for clients, offering strategic and timely legal guidance

• Ensure due diligence processes are thorough and align with transaction goals

Requirements:

• 4-8 years of focused experience in corporate transactions, including M&A

• Demonstrated involvement with both private equity and strategic buyers/sellers

• Strong track record in handling complex deal negotiations and documentation

• Proficient in managing client expectations and transaction timelines

• Ability to work independently while contributing to a team environment

Education:

• Juris Doctor (J.D.) from an accredited U.S. law school

Certifications:

• Admission to the Ohio Bar or eligibility to waive in
