Job Title: Energy Project Finance Attorney
Job Overview:
A law firm based in New York City, NY is seeking two accomplished legal professionals to support its expanding Renewable Energy & Infrastructure group. Acting through a legal recruiting firm, the hiring firm is looking for individuals with extensive experience in energy-sector financing transactions specializing in debt structuring and the other in tax equity or M&A related to renewable projects. The role offers the opportunity to work directly with prominent players across the clean energy spectrum on high-impact, large-scale transactions. Attorneys will be expected to lead deal execution, engage with clients, and manage complex documentation related to renewable energy project development, financing, and acquisitions.
Duties:
Lead and negotiate complex financing transactions in the renewable energy space.
Provide strategic guidance to clients on the structuring and execution of:
Construction and term debt financings
Equipment and supply loan arrangements
Tax equity partnerships and joint ventures
Project acquisitions and sales
Draft and review a range of financing documents, including:
Loan agreements, security instruments, guarantees
Capital contribution agreements and membership purchase agreements
Ancillary debt and equity documents, estoppels, and consents
Collaborate with internal and external stakeholders including co-counsel, investors, and lenders.
Supervise junior attorneys and guide transaction workflows from inception through closing.
Advise on project-related contracts such as EPC Agreements, Offtake Arrangements, O&M Contracts, and Supply Agreements.
Requirements:
Minimum of 5 years of legal experience handling sophisticated energy transactions.
Demonstrated expertise in either:
Debt finance (construction and term loans)
Tax equity or M&A (joint ventures, equity investments, asset portfolios)
Prior experience representing sponsors, developers, or financial institutions in energy-related deals.
Proficiency in negotiating and drafting complex legal documentation.
Ability to manage teams, interface with clients, and independently drive transaction execution.
Education:
Juris Doctor (JD) degree from a nationally recognized law school.
Certifications:
Admission to the New York State Bar (active and in good standing).
Skills:
Advanced legal drafting and analytical capabilities.
Strong verbal and written communication skills.
Strategic thinking with an ability to anticipate client needs.
