Mid-to-Senior Level Corporate Associate Attorney

A law firm in Mountain View, CA, specializing in corporate law, seeks a Mid-to-Senior Level Corporate Associate Attorney to join their Startup and Venture Capital Group. The ideal candidate will have a strong background in representing technology and/or life sciences companies, with significant experience in startup formation, venture capital financing, and general corporate counseling.

Duties and Responsibilities:

• Provide legal counsel to startup and emerging growth companies on corporate governance, financing, intellectual property, and commercial transactions.
• Draft and negotiate a wide range of corporate agreements, including financing documents, equity compensation plans, and commercial contracts.
• Conduct due diligence reviews and manage transactions related to venture capital financings, mergers and acquisitions, and strategic partnerships.
• Advise clients on compliance matters related to securities regulations, employment laws, and data privacy.

Requirements:

• JD degree from an accredited law school.
• Admission to the State Bar of California (active and in good standing).
• 3+ years of experience practicing corporate law at a reputable law firm, with a focus on startup, venture capital, and emerging company representation.
• Strong understanding of corporate finance, securities laws, and transactional matters relevant to startups and venture capital.
• Superior academic credentials and a demonstrated ability to handle complex legal issues independently.
• Excellent oral and written communication skills, with the ability to interact effectively with clients and colleagues.
• Previous in-house experience is a plus, provided there is prior law firm experience.
