A highly regarded law firm is seeking an experienced Fund Formation Attorney to join its legal team in New York. The successful candidate will have direct experience managing fund formation transactions, sponsor-level structuring, and secondary transactions involving limited partner or portfolio company interests. This opportunity is ideal for attorneys who have worked in the corporate department of a national or international law firm and are looking to continue practicing at a high level.

Location:

Duties:

• Represent sponsors and investors in private investment fund formations

• Handle sponsor-level transactions, including general partner and management company structuring

• Advise on secondary transactions involving LP interests and portfolio companies

• Collaborate with multidisciplinary teams on complex fund structuring issues

• Support clients with regulatory compliance and investor negotiations

• Contribute to client development and maintain strong professional relationships

• Provide strategic guidance throughout the fund lifecycle

Requirements:

• Minimum of 5 years of experience in private investment fund formation

• Proven experience with fund structuring, sponsor-level transactions, and secondary deals

• Strong transaction management and client communication skills

• Prior experience at a national or international law firm preferred

• Demonstrated ability to manage complex matters independently

Education:

• Juris Doctor (J.D.) from a nationally accredited law school

• Strong academic performance required

Certifications:

• Admission to the New York State Bar (active and in good standing)

Skills:

• Advanced knowledge of fund formation laws and regulations

• Strong drafting and negotiation skills

• Ability to manage multiple transactions and timelines effectively

• Exceptional analytical, organizational, and interpersonal abilities

• Comfortable advising high-profile clients in a fast-paced environment
