Job Overview:

A prominent law firm is seeking a highly skilled and experienced Mergers & Acquisitions Associate, Senior Attorney, or Of Counsel for its Delaware office. This position offers an opportunity to work on a diverse range of corporate and alternative entity transactions, including mergers, acquisitions, divestitures, corporate restructurings, strategic partnerships, financing and complex lending transactions, cross-border transactions, private equity investments, and more. The role requires the ability to work closely with clients and teams to provide insightful legal counsel and deliver high-quality solutions in a fast-paced, deadline-driven environment.

Duties:

  • Handle a wide variety of corporate and alternative entity transactions, such as mergers, acquisitions, divestitures, and corporate restructurings.
  • Advise clients on strategic partnerships, financing and lending transactions, cross-border transactions, and private equity investments.
  • Provide general corporate and alternative entity support, including contract review, corporate governance matters, and legal opinions.
  • Conduct research and analysis of transactional situations to provide strategic legal guidance.
  • Manage projects effectively, ensuring deadlines are met and work is delivered with high accuracy.
  • Collaborate with business staff, owners, executives, opposing counsel, and internal teams to ensure smooth communication and efficient case handling.

Requirements:

  • Minimum of five years of experience in corporate law, with significant experience in mergers and acquisitions.
  • Prior experience in a large law firm, particularly in a business or corporate group.
  • Strong project management and organizational skills, with the ability to manage multiple projects under deadline pressure.
  • Ability to communicate effectively with business leaders, clients, and colleagues at all levels.
  • Strong writing skills, particularly in legal and business contexts.
  • Delaware bar admission or the ability to obtain admission in Delaware.

Education:

  • Juris Doctor (JD) degree from an ABA-accredited law school.

Certifications:

  • Admission to the Delaware bar or ability to obtain Delaware bar admission.

Skills:

  • Expertise in mergers and acquisitions, corporate restructuring, and private equity investments.
  • Strong project management and organizational capabilities.
  • Excellent written and verbal communication skills.
  • Proficiency in handling complex, multi-faceted legal matters in a collaborative environment.
  • Ability to navigate high-pressure situations and tight deadlines while maintaining attention to detail.
