A law firm seeks a Corporate Transactions Associate to join its Salt Lake City team. This role centers on guiding middle‐market and upper middle‐market businesses and private equity clients through complex U.S. and cross‐border mergers, acquisitions, securities offerings, and other commercial deals. Duties
Advise clients on domestic and international merger and acquisition transactions, from initial due diligence through deal closing
Draft and negotiate transactional documents, including stock and asset purchase agreements, shareholder agreements, securities purchase agreements, and ancillary corporate documents
Assist in structuring and executing private and public securities offerings, including registration statements, disclosure documents, and related regulatory filings
Support corporate governance matters, such as board resolutions, operating agreements, and equity incentive plans
Coordinate with cross‐functional teams—tax, finance, and other practice groups—to ensure seamless transaction execution
Conduct legal research and analysis to address emerging issues in corporate and securities law
Maintain direct communication with partners, senior associates, and clients to manage timelines, address inquiries, and build lasting client relationships
Participate in strategic planning sessions, offering insights on market trends and regulatory developments that impact transactional work
Requirements
4–6 years of experience in corporate transactional work, with substantial exposure to mergers and acquisitions and securities matters
Proven track record representing middle‐market or private equity clients in complex deals, preferably including cross‐border elements
Demonstrated ability to work collaboratively on deal teams and interact regularly with senior attorneys and clients
Experience counseling clients on corporate governance, financing structures, and contract issues
Strong drafting ability, with meticulous attention to detail in preparing contracts, disclosure documents, and board materials
Excellent verbal and written communication skills, with a high degree of professionalism in client-facing interactions
Intellectual curiosity and a proactive mindset to identify and resolve transaction challenges
Capacity to manage multiple deal streams and demanding deadlines in a fast-paced environment
Education
Juris Doctor (JD) from an American Bar Association–accredited law school, with top-tier academic performance
Certifications
Active membership in good standing with the bar(s) of admission (Utah Bar admission required upon hiring; other state admissions a plus)
