Duties:
Manage environmental due diligence for mergers, acquisitions, project financings, and other corporate transactions
Draft and negotiate environmental provisions in transaction and financing agreements
Prepare environmental disclosure language for SEC filings
Advise clients on environmental regulatory compliance, risk mitigation, and restructuring matters
Conduct in-depth research and provide counsel on federal and state environmental laws
Collaborate with deal teams and clients to identify and address environmental risks in complex transactions
Requirements:
6–8 years of experience in environmental and energy law
Significant background in corporate transactions and environmental regulatory counseling
Demonstrated experience working with environmental and energy matters in the context of mergers, acquisitions, and project financing
Deep knowledge of key federal and state environmental statutes
Strong understanding of energy sector operations and regulatory schemes
Ability to lead and manage transactional matters independently
Education:
Juris Doctor (JD) from a top-tier, accredited law school
Certifications:
Active license to practice law in good standing in at least one U.S. jurisdiction
Skills:
Strong drafting and negotiation skills
Expertise in environmental due diligence and risk assessment
Ability to translate complex legal and regulatory issues into practical business advice
High-level analytical, research, and writing abilities
Familiarity with SEC reporting and environmental disclosure requirements
Excellent communication and client advisory skills
