A law firm seeks a Senior Associate in New York, NY to draft legal documents, including opinion letters, memoranda, and various corporate contracts and agreements, utilizing extensive experience with Latin American law.

Duties

• Draw up legal documents such as opinion letters and corporate contracts.
• Advise and represent corporate and sovereign clients in U.S. and international transactions.
• Close corporate transactions and coordinate with client's advisors.
• Support discussions to develop objectives for cross-border transactions.
• Draft, review, and negotiate contracts related to securities issuances and restructurings.
• Draft proposals and legal analysis for debt restructurings and liability management.

Requirements

• Four years of experience as an Associate or related occupation.
• Experience advising on U.S. and international corporate and financial transactions.
• Experience closing corporate transactions and coordinating with advisors.
• Experience drafting and negotiating contracts in banking, energy, retail, and telecom industries.

Education

• JD, LLM, or foreign equivalent.

Certifications

• Admitted to practice law in the State of New York.

Skills

• Proficiency in Latin American law.
• Strong negotiation and drafting skills.
• Ability to coordinate among various advisors and stakeholders.
