A law firm seeks a Senior Associate in New York, NY to assist and represent private and public corporations as lead legal counsel in complex merger and acquisition transactions and corporate governance matters.

Duties

• Advise and represent corporations in complex merger and acquisition transactions.
• Assist corporations with governance matters and fiduciary duties of officers and directors.
• Advise on internal corporate restructurings, including spin-offs and re-incorporations.
• Assist in shareholder activism and takeover defense matters.
• Conduct analysis on Delaware and EU corporate law and draft legal memoranda.

Requirements

• JD, LLM, or foreign equivalent.
• Four years of experience as an Associate or related occupation.
• Experience in merger and acquisition transactions in the ICT industries.
• Experience with corporate governance and fiduciary duties.
• Experience in internal corporate restructurings.
• Admitted to practice law in the State of New York.

Education

• JD, LLM, or foreign equivalent.

Certifications

• Admitted to practice law in New York.

Skills

• Strong analytical and drafting skills.
• Proficiency in Delaware and EU corporate law.
• Excellent negotiation and communication abilities.
