Job Overview
A law firm seeks a Mid-Level Associate in New York, NY to provide legal counsel in complex transactional matters.

Duties

• Analyze compliance of compensation and benefits with federal regulations.
• Advise on executive compensation in mergers, acquisitions, and corporate transactions.
• Draft and review executive compensation disclosures and agreements.
• Prepare S-8 prospectuses for employee benefits plans.
• Analyze compensation clawback rules and draft related agreements.
• Conduct change of control analysis for transactions.
• Prepare issue lists, diligence reports, and executive summaries.
• Prepare SEC forms including Schedule 14A, Form 10-K, 10-Q, and 8-K.

Requirements

• Admitted to practice law in the State of New York.
• Two years of experience in compensation and benefits compliance.

Education

• Juris Doctor degree or Master of Laws degree.

Certifications

• Admitted to the New York State Bar.

Skills

• Strong analytical and drafting skills.
• Experience with federal regulations including IRC, ERISA, and SEC rules.
