A prestigious law firm is seeking a skilled Securities Associate or Of Counsel to join its Investment Funds Group. This role requires an experienced securities attorney with a strong background in commercial real estate law, particularly in real estate finance, acquisitions, and dispositions. The ideal candidate will provide legal counsel to public and private real estate companies, REITs, and institutional and financial investors on various complex transactions. The position is available in multiple office locations across the United States.

Manage structured securities offerings and related transactions.
Advise clients on real estate finance, acquisitions, dispositions, and restructuring matters.
Represent a diverse clientele, including real estate companies, REITs, and institutional investors.
Draft, review, and negotiate complex legal documents related to securities and real estate transactions.
Ensure compliance with applicable securities and real estate regulations.
Collaborate with internal teams and external stakeholders to facilitate transactions.
Conduct legal research and provide strategic guidance on financial and regulatory matters.
Assist in business development efforts by maintaining and expanding client relationships.
Minimum of 6 years of experience managing structured securities offerings.
Strong background in commercial real estate law, with a focus on finance, acquisitions, and dispositions.
Experience advising public and private real estate companies and investors.
Proven ability to handle complex financial transactions.
Strong understanding of securities regulations and compliance requirements.
Prior experience at an AmLaw 100 law firm is preferred.
Juris Doctor (JD) degree from an accredited law school.
Must be admitted to practice law in the jurisdiction where the position is located.
