Job Overview: A leading law firm is seeking a talented Corporate Associate Attorney to join its dynamic practice focused on advising crypto and Web3 companies. The ideal candidate will have 3-6 years of transactional experience in the evolving areas of blockchain, crypto tokens, and digital assets. The role involves working on high-profile transactions, including venture capital financings, token issuances, and the creation of offshore structures related to digital assets. The firm offers a collaborative environment with exposure to cutting-edge legal issues within the tech and crypto industries.

Duties:

• Advise clients on venture capital financings involving crypto token rights and token warrants.
• Guide clients through crypto tokens, digital assets, and NFT issuances.
• Provide counsel on primary and secondary sales of crypto tokens and digital assets.
• Assist in structuring offshore entities related to crypto token and digital asset issuances.
• Collaborate with cross-disciplinary teams to address complex legal and regulatory challenges in the crypto and blockchain sectors.
• Stay informed on the latest developments in blockchain technology, cryptocurrency markets, and relevant legal frameworks.

Requirements:

• 3-6 years of transactional legal experience, with a focus on blockchain and crypto technologies.
• A strong understanding of blockchain technology and its application in the crypto and Web3 industries.
• Knowledge of securities law and regulatory issues surrounding crypto tokens is a plus.
• Proven ability to handle complex legal issues related to digital assets, venture capital, and emerging technologies.
• Excellent written and verbal communication skills.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Active Bar membership in New York (or eligibility to waive in).

Skills:

• Expertise in corporate transactions, particularly in the crypto and blockchain sectors.
• Ability to work independently and as part of a collaborative team.
• Strong analytical and problem-solving skills.
• Familiarity with securities law and regulatory concerns in the digital asset space.
• High attention to detail and organizational skills.
