Job Overview:
A Portland-based law firm is seeking a seasoned associate attorney to support its transactional tax practice, with a strong emphasis on energy-sector matters. The role will focus on structuring complex tax strategies, advising on partnership agreements, and supporting transactional initiatives involving energy investments. This opportunity offers significant client exposure and collaborative engagement across practice groups.

Duties:

• Advise on federal income tax implications related to energy sector transactions

• Draft and negotiate partnership and joint venture agreements

• Prepare legal memoranda and formal tax opinions

• Provide strategic guidance on M&A and other corporate tax matters

• Coordinate with deal teams on structuring and tax diligence

• Support the tax aspects of project finance and renewable energy investments

• Collaborate with attorneys across multiple practice areas and offices

• Contribute to knowledge-sharing efforts, including internal training and external presentations

Requirements:

• Prior experience in a transactional tax setting, preferably within the energy industry

• Demonstrated expertise in partnership taxation and drafting complex agreements

• Familiarity with tax opinion preparation and deal structuring

• Proven ability to work across multiple transactions simultaneously

• Licensed and in good standing with the Oregon State Bar (or eligible for admission)

Education:

• Juris Doctor (J.D.) from an ABA-accredited law school

Certifications:

• An active Bar license in Oregon is required
