Finance Associate Attorney

Profile

A law firm is seeking a Finance Associate Attorney for their New York City office. The ideal candidate will have a combination of project finance and mergers and acquisitions (M&A) experience. Fluency in Spanish and/or Portuguese is preferred but not required. This role will involve working on complex finance transactions, advising clients on financial matters, and supporting M&A deals, all while ensuring legal compliance and effective project management.

Key Responsibilities

• Handle a range of finance matters, including project finance transactions, structured finance, and M&A deals.
• Draft, review, and negotiate finance agreements, loan documents, acquisition agreements, and related legal documents.
• Provide legal counsel on financial structures, regulatory compliance, and risk management for both project finance and M&A transactions.
• Conduct thorough due diligence and perform detailed legal analysis for transactions.
• Collaborate with clients, internal legal teams, and external advisors to facilitate smooth execution of finance projects and deals.
• Manage and coordinate the legal aspects of transactions from inception to completion, ensuring all legal requirements are met.
• Stay current with industry trends, regulatory changes, and developments in finance and M&A law.
• Support senior attorneys in handling complex transactions and lead smaller projects independently.

Qualifications & Requirements

• Juris Doctor (JD) from an accredited law school.
• Active license to practice law in New York, or eligibility for admission to the New York Bar.
• 2+ years of experience in finance law, with a focus on project finance and M&A.
• Experience working in a law firm environment preferred.
• Fluency in Spanish and/or Portuguese is advantageous but not required.
• Strong understanding of finance law, including project finance, M&A, and related regulatory frameworks.
• Demonstrated ability to handle complex transactions and provide strategic legal advice.
