Job Overview:
A prominent law firm is seeking a Corporate Associate Attorney to join its team in New York, NY. This position focuses on advising clients on compliance with U.S. securities laws, particularly under the Securities Act of 1933 and the Securities Exchange Act of 1934. The ideal candidate will have significant experience with SEC regulations, capital markets transactions, and the preparation of registration statements and related documentation.

Location:

• New York, NY

Duties:

• Advise clients on compliance with federal securities laws, including SEC disclosure requirements

• Prepare and review registration statements, prospectuses, and related offering documents

• Draft and negotiate securities-related legal documentation, including:

  • Purchase agreements

  • Underwriting agreements

  • Indentures

  • Closing documentation

• Guide clients on periodic reporting and compliance under the ’34 Act

• Interpret and apply SEC regulations to corporate transactions and public disclosures

Requirements:

• Minimum of 3 years of experience in:

  • Capital markets and securities law

  • Drafting SEC registration and reporting documents

  • Advising clients on compliance with the Securities Act of 1933 and the Securities Exchange Act of 1934

• Experience preparing legal documents for public and private offerings

• Strong attention to regulatory detail and analytical problem-solving

Education:

• Juris Doctor (J.D.) from an accredited U.S. law school

• Alternatively, a foreign law degree combined with an LL.M. or equivalent qualification

Certifications:

• Active license to practice law in New York State

Skills:

• In-depth understanding of SEC regulations, the ’33 Act, and the ’34 Act

• Strong drafting, writing, and negotiation skills

• Excellent client communication and counseling skills

• Ability to manage complex transactional documentation

• Capable of working independently and collaboratively in a fast-paced environment
