A law firm seeks an associate attorney in Santa Monica, CA, to join their corporate law team. The role involves working on venture financings, mergers and acquisitions, and securities transactions for startups and investors. Duties

• Draft, review, and negotiate corporate and transactional documents, including financing and M&A agreements.
• Advise emerging growth companies and investors from formation to exit.
• Conduct legal due diligence for M&A and venture capital transactions.
• Advise on corporate compliance and draft commercial contracts.
• Provide strategic advice on corporate structure and compliance.
• Collaborate with partners and clients to deliver business-focused legal solutions.

Requirements

• Minimum 2 years of experience in U.S. venture capital, M&A, and corporate practice or comparable non-U.S. experience.
• Bilingual in English and Chinese is preferred.

Education

• J.D. or L.L.M from an accredited U.S. law school.

Certifications

• Licensed to practice law in the United States.
