A leading law firm is seeking a Senior Corporate Associate with at least 5 years of experience in capital markets and public company advisory work to join its San Diego office. The ideal candidate will have a strong background in SEC reporting and compliance, corporate governance, and advising large and mid-cap public companies. This is a unique opportunity to support a national securities practice with clients in life sciences, technology, and digital asset sectors.

Advise public companies on SEC reporting obligations, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and Section 13/16 filings
Provide guidance on Nasdaq and NYSE listing standards and governance requirements
Support capital markets transactions including public offerings and private placements
Work closely with issuer and underwriter clients on securities law compliance and transactional matters
Assist in drafting and reviewing legal documents related to securities, corporate governance, and public disclosures
Collaborate with partners and cross-office teams on complex corporate transactions
Manage client expectations and deliver high-quality, timely legal work
Minimum 5 years of experience in capital markets and public company matters
Prior experience working with large and mid-cap public companies
Familiarity with corporate governance frameworks and regulatory compliance
Background at an AmLaw 100 firm preferred
Demonstrated experience handling complex legal matters independently and collaboratively
Juris Doctor (JD) from an accredited law school
Licensed and in good standing to practice law in the State of California
Deep knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934
Familiarity with Nasdaq and NYSE listing and corporate governance standards
Excellent legal writing and research skills
Strong business judgment and problem-solving capabilities
High attention to detail and organizational skills
Effective communicator with the ability to work both independently and within a team
Persuasive and clear oral and written communication abilities
Ability to manage multiple competing deadlines in a fast-paced environment
