A law firm seeks a mid-level associate to join its Banking & Finance practice, specializing in Collateralized Loan Obligations (CLO) and related structured finance transactions. The ideal candidate will have a strong background in securitizations, warehouse financing, and other complex financial transactions. Handle all aspects of CLO transactions, including structuring, negotiation, and documentation.
Advise clients on legal and regulatory matters related to structured finance.
Draft and review key transaction documents, including indentures, purchase agreements, offering circulars, and servicing agreements.
Work on securitizations, warehouse financing, and other structured financial transactions.
Conduct due diligence and provide legal analysis on finance-related matters.
Collaborate with cross-functional teams, including tax, regulatory, and compliance groups.
Ensure transactions comply with applicable laws and industry standards.
Assist with client development and relationship management.
3 to 5 years of experience in structured finance, with a focus on CLO transactions.
Strong understanding of securitizations, warehouse financing, and related financial instruments.
Excellent analytical, drafting, and negotiation skills.
Ability to manage multiple transactions and deadlines in a fast-paced environment.
Strong interpersonal and communication skills to interact with clients and internal teams effectively.
Prior experience at a law firm with a reputable banking & finance practice is preferred.
Juris Doctor (JD) from an accredited law school.
Graduation year: 2020-2022 preferred.
Active membership in the New York State Bar or eligibility for admission.
In-depth knowledge of structured finance and capital markets.
Strong legal research and problem-solving abilities.
Excellent written and verbal communication skills.
Detail-oriented with strong organizational skills.
Ability to work both independently and collaboratively in a team setting.
