Profile

A law firm seeks an experienced Mergers & Acquisitions (M&A) Resource Attorney to join its Chicago office. This role is tailored for an attorney with at least 7 years of experience in corporate transactional law. The M&A Resource Attorney will work in a supportive capacity, enhancing the efficiency of the M&A practice by managing critical resources, databases, precedents, and educational content. The ideal candidate will have expertise in both public and private M&A transactions and a passion for legal innovation and knowledge management.

Duties

  • Transaction Database Management

    • Input and update deal terms from completed transactions into a comprehensive transaction database.
    • Collaborate with the knowledge management team to audit, maintain, and improve the database’s content.
  • Form and Precedent Drafting/Management

    • Draft and revise template documents, ensuring they reflect current legal standards and best practices.
    • Organize and curate the M&A group's forms, precedents, and resources to ensure easy access for attorneys.
  • Legal Updates

    • Monitor and summarize developments in M&A-related laws and regulations.
    • Prepare timely updates and alerts for internal teams, ensuring legal changes are reflected in the firm's practice resources.
  • Legal Education

    • Partner with the legal education team to brainstorm and develop content for training sessions on M&A topics.
    • Contribute to the development of educational resources for associates and other team members.
  • Marketing & Business Development

    • Work closely with the marketing team to strategize and create content to promote the M&A practice.
    • Assist with business development initiatives, including preparing materials for pitches and presentations.
  • Attorney Support

    • Provide daily assistance to attorneys by responding to requests for templates, precedents, and other practice resources.
  • New Initiatives

    • Participate in knowledge management, resource development, and practice innovation projects.
    • Assist in the rollout of new initiatives aimed at improving the practice's efficiency and knowledge sharing.
  • Other Duties

    • Perform additional tasks as required by the firm to support the M&A practice group.

Requirements

  • Experience

    • A minimum of 7 years of experience in U.S.-based M&A corporate/transactional law.
    • In-depth understanding of public and private M&A, corporate governance, and board fiduciary duties.
    • Proven ability to manage multiple projects and coordinate with various stakeholders effectively.
  • Skills

    • Strong drafting skills, with an attention to detail for preparing high-quality legal documents.
    • Excellent organizational and multitasking abilities, with experience in managing ongoing projects.
    • Ability to work collaboratively with a team and support the senior resource attorney.
    • Flexibility to adapt to evolving projects and take on new initiatives as they arise.
  • Success Factors

    • High attention to detail for ensuring quality and accuracy in form document creation.
    • Strong organizational skills, with the ability to manage competing priorities and deadlines.
    • Ability to adapt to new challenges and work with diverse teams within the firm.

Education

  • Juris Doctor (J.D.) from an accredited law school.

Certifications

  • Licensed to practice law in a U.S. jurisdiction.

Skills

  • Expertise in drafting M&A-related documents and precedents.
  • In-depth knowledge of M&A transactions, corporate governance, and regulatory compliance.
  • Proficiency in legal research and maintaining databases for practice management.
  • Strong written and verbal communication skills, with the ability to create educational content.
  • Familiarity with marketing and business development practices in a legal context.
