Job Overview

A law firm seeks a Corporate M&A and Private Equity Associate in Miami. The ideal candidate will have 5 to 8 years of experience in M&A and private equity transactions, with a focus on representing control-oriented private equity sponsors and their portfolio companies.

Duties

• Represent private equity sponsors in platform acquisitions, add-on investments, and dispositions.
• Manage joint ventures and minority investments.
• Oversee structuring, due diligence, and deal execution.
• Draft and negotiate purchase and investment agreements.

Requirements

• Minimum of three years of corporate experience at an Am Law 100 firm.
• Strong negotiating and drafting skills.
• Excellent analytical and writing abilities.
• Practical, business-oriented approach to problem-solving.

Education

• Juris Doctor degree from an ABA-accredited law school.

Certifications

• Admission to the Florida or New York Bar, or willingness to sit for the next available examination.

Skills

• Ability to manage complex transactions.
• Proficiency in structuring and due diligence processes.
