Job Overview

A law firm seeks a seasoned attorney with 4-7 years of experience in corporate and mergers & acquisitions to join their Corporate & Transactional practice in Omaha, NE. The successful candidate will lead transaction portions, manage diligence, draft key documents, and work directly with clients and opposing counsel.

Duties

• Lead and manage due diligence processes for asset and equity transactions.
• Draft and negotiate purchase agreements, disclosure schedules, and ancillary documents.
• Structure and document mergers, acquisitions, divestitures, and corporate reorganizations.
• Advise clients on corporate governance, entity formation, and general corporate matters.
• Coordinate with tax, employment, real estate, and litigation teams as needed.
• Communicate directly with clients, investment partners, and opposing counsel.
• Supervise junior attorneys and paralegals on transaction workflow.
• Assist with commercial contract matters.

Requirements

• 4-7 years of corporate and M&A transactional experience in a law firm setting.
• Strong drafting and negotiation skills for complex agreements.
• Ability to independently manage significant portions of a transaction.
• Excellent organizational and project management skills.
• Client-focused mindset with strong communication abilities.
• Licensed and in good standing in NE.

Preferred Experience

• Experience with middle-market transactions.
• Familiarity with private equity or investor-backed transactions.
• Exposure to cross-border transactions is a plus.

Education

• Juris Doctor (JD) degree.

Certifications

• Licensed attorney in Nebraska.
